Liability and Indemnification Policy

This policy outlines the Bereishis Foundation Inc.’s commitment to protecting board members, staff, and volunteers from liability for actions taken in good faith while performing duties, ensuring alignment with our mission to help families pay for therapy when they cannot afford it, as a 501(c)(3) nonprofit incorporated in Georgia on May 8, 2025.

Scope

This policy applies to all Rabbinical and Clinical Board members, staff, and volunteers involved in Foundation activities, including case consultations, policy reviews, and halachic guidance, as outlined in our board roles and policies.

Liability Protection

Bereishis Foundation provides liability protection for board activities conducted in good faith. This includes:

  • Actions taken within the scope of Rabbinical or Clinical Board duties, such as case consultations, policy reviews, or halachic guidance.
  • Decisions made in accordance with the Foundation’s mission, policies, and applicable laws, including the Georgia Nonprofit Corporation Code (O.C.G.A. Title 14).

Indemnification

  • The Foundation will indemnify and hold harmless board members, staff, and volunteers against claims, losses, or expenses arising from actions performed in good faith and within the scope of their roles.
  • Indemnification applies to legal proceedings related to Foundation activities, provided the individual acted in accordance with this policy and applicable laws.

Exclusions

  • Indemnification does not apply to actions involving gross negligence, willful misconduct, or violation of Foundation policies.
  • Activities outside the scope of assigned duties or without proper authorization are excluded.
  • Breaches of confidentiality agreements or ethical standards are not covered.

Insurance

The Foundation maintains Directors and Officers (D&O) liability insurance to cover board members and key staff for claims arising from their official duties. Coverage details are available upon request from the Executive Director at bereishisfoundation@hotmail.com.

Procedure for Claims

  • Board members, staff, or volunteers must notify the Executive Director immediately of any claim or potential liability via bereishisfoundation@hotmail.com.
  • The Foundation will provide legal counsel and cover reasonable defense costs, subject to insurance terms and this policy.

Policy Administration

  • Review: Reviewed annually by the Board to ensure compliance with IRS regulations and the Georgia Nonprofit Corporation Code.
  • Amendments: Require Board approval and written documentation.
